Terms of Service

These Terms of Service ("Terms") govern your access to and use of Hey Ralli's websites, applications, software, artificial intelligence features, communications tools, integrations, and related products and services (collectively, the "Services").

The Services are provided by Hey Ralli, LLC, a Tennessee limited liability company ("Hey Ralli," "we," "us," or "our").

By creating an account, joining an organization workspace, accepting an invitation, purchasing or using a subscription, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you use Hey Ralli on behalf of a school, PTO, PTA, parent organization, community organization, business, or other entity ("Organization"), you represent that you have authority to accept these Terms on behalf of that Organization.

If you do not agree to these Terms, do not use the Services.

1. Eligibility

Hey Ralli is offered to adults and authorized representatives of organizations.

You must be at least 18 years old or the age of legal majority where you live to create a Hey Ralli account.

Hey Ralli is not directed to children under 13, and children under 13 may not create Hey Ralli accounts.

Organizations may use Hey Ralli to manage content that incidentally refers to students or children. The Organization is responsible for obtaining any authorization, permission, or consent required for the information it chooses to provide to Hey Ralli.

Hey Ralli is not intended to function as a student information system or electronic educational-record system.

These Terms do not represent that Hey Ralli is FERPA-, COPPA-, or otherwise education-regulation compliant for any particular use. Organizations are responsible for determining whether their intended use of the Services is appropriate for their legal and organizational requirements.

2. Organization Workspaces

Hey Ralli operates through organization workspaces.

If you create an Organization workspace, connect a third-party account, invite users, or otherwise act on behalf of an Organization, you represent that you have authority to do so.

Founding access codes, invitation links, account credentials, and similar access mechanisms are personal to their intended recipients and may not be shared with unauthorized individuals.

Organizations may assign users different roles and permissions.

Depending on those permissions, authorized users may be able to:

  • Create and modify events;
  • Generate communications using artificial intelligence;
  • Upload files, images, and artwork;
  • Create newsletters and flyers;
  • Coordinate volunteers;
  • Manage tasks;
  • Request, provide, or manage approvals;
  • Schedule or publish communications;
  • Access or respond to communications;
  • Connect third-party services; and
  • Perform other actions available through the Services.

The Organization is responsible for activity performed within its workspace by its authorized users and for assigning appropriate roles and permissions.

3. Accounts and Security

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree to provide accurate account information and keep information reasonably current.

You may not:

  • Share passwords or authentication credentials with unauthorized persons;
  • Access another person's account without permission;
  • Circumvent account, role, approval, or security controls;
  • Attempt to gain unauthorized access to another Organization's workspace; or
  • Interfere with the security or operation of Hey Ralli.

You must notify Hey Ralli if you reasonably believe your account has been compromised.

We may require password resets, session termination, reauthentication, or other reasonable security measures when necessary to protect users or the Services.

4. License to Use Hey Ralli

Subject to these Terms and payment of applicable fees, Hey Ralli grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your Organization's authorized purposes.

This license does not give you ownership of Hey Ralli or its underlying software, technology, designs, systems, models, workflows, or intellectual property.

Except where permitted by law, you may not:

  • Copy or reproduce substantial portions of the Services;
  • Reverse engineer the Services;
  • Circumvent technical restrictions;
  • Use the Services to develop a competing product through unauthorized extraction or replication;
  • Sell or sublicense access to Hey Ralli; or
  • Use automated systems in a manner that materially interferes with the Services.

5. Organization Content and User-Provided Materials

Organizations and users may create, upload, import, reference, submit, or store content through Hey Ralli ("Organization Content").

Organization Content may include:

  • Events and calendars;
  • Captions and communications;
  • Newsletters and flyers;
  • Images and artwork;
  • Photographs;
  • Logos and branding;
  • Inspiration or reference images;
  • Files and documents;
  • Volunteer information;
  • Approval requests and comments;
  • Messages and communications;
  • Tasks;
  • Vendor information;
  • Contact information; and
  • Other materials provided by an Organization or user.

As between you and Hey Ralli, you retain your rights in Organization Content you provide, subject to the rights of other parties and applicable law.

You grant Hey Ralli a limited, non-exclusive license to host, store, reproduce, process, transmit, display, modify as technically necessary, and otherwise use Organization Content as necessary to provide, secure, maintain, and improve the Services and perform actions you authorize.

This includes transmitting Organization Content to third-party services when necessary to perform requested functionality, such as publishing to connected social media accounts, sending communications, processing AI requests, synchronizing messages, or operating integrations.

Responsibility for Uploaded Materials

You and the Organization you represent are responsible for determining whether you have the rights, licenses, permissions, releases, consents, or other legal authority necessary to upload, provide, reproduce, modify, publish, distribute, or otherwise use materials through Hey Ralli.

By providing materials to Hey Ralli, you represent and warrant that:

  • You own the materials or have sufficient rights or permission to use them;
  • Your use of the materials through Hey Ralli does not infringe another person's copyright, trademark, privacy, publicity, or other rights;
  • You have any permissions or releases reasonably required for photographs or other materials depicting identifiable individuals; and
  • You have authority to allow Hey Ralli and its service providers to process the materials as necessary to provide the requested Services.

6. Inspiration and Reference Images

Hey Ralli may allow users to upload, select, provide, or reference images, artwork, photographs, designs, logos, graphics, or other materials as inspiration or reference material for AI-assisted content creation.

The user and Organization providing an inspiration or reference image are responsible for having the legal right or permission to use that material.

Labeling an image as "inspiration," "reference," or similar terminology does not eliminate or modify copyright, trademark, privacy, publicity, or other rights that may apply to the material.

You should not provide copyrighted artwork, photographs, logos, protected characters, designs, branding, or other third-party materials unless you have the legal right or permission to use them for the intended purpose.

Hey Ralli does not grant you rights in third-party materials merely because the Services allow those materials to be uploaded, displayed, referenced, processed, transformed, or used with an AI feature.

Hey Ralli does not independently verify ownership or licensing of every inspiration image or other material provided by users.

The user and Organization remain responsible for determining whether the intended use of the material is legally permitted.

7. Artificial Intelligence Features

Hey Ralli includes artificial intelligence features that may generate or assist with:

  • Text;
  • Social media captions;
  • Images and artwork;
  • Flyers;
  • Newsletters;
  • Communication plans;
  • Event communications; and
  • Other materials.

AI functionality may be provided in part through third-party artificial intelligence providers.

AI Can Make Mistakes

Artificial intelligence output may be inaccurate, incomplete, inappropriate, outdated, misleading, or otherwise unsuitable for your intended use.

You are responsible for reviewing AI-generated or AI-assisted content before approving, scheduling, publishing, emailing, printing, distributing, or otherwise using it.

Hey Ralli does not guarantee the accuracy, completeness, suitability, originality, or non-infringement of AI-generated output.

AI-Generated Content and Intellectual Property

AI-generated output may resemble existing styles, themes, concepts, designs, or other content and may not be unique.

Hey Ralli does not guarantee that AI-generated or AI-assisted content:

  • Is original or unique;
  • Is eligible for copyright, trademark, or other intellectual-property protection;
  • Does not resemble content created by another person;
  • Does not infringe intellectual-property or other rights of a third party; or
  • Is legally appropriate for every intended use.

If an Organization requests content incorporating or based upon third-party trademarks, copyrighted characters, protected artwork, photographs, branding, or other proprietary material, the Organization is responsible for confirming it has the legal right to make that use.

Hey Ralli's generation, display, storage, approval, scheduling, or publishing of content at a user's direction does not constitute a legal determination that the content is non-infringing or otherwise lawful.

Human Review

Users and Organizations are responsible for reviewing AI-generated content before publishing, distributing, printing, emailing, posting to social media, or otherwise using it.

The availability of AI generation, approval workflows, or other Hey Ralli tools does not transfer responsibility for an Organization's communications to Hey Ralli.

8. Approvals, Publishing, Scheduling, and Publication Failures

Hey Ralli may provide workflows allowing Organization users to create, review, approve, schedule, and publish content.

Organizations are responsible for configuring their roles, permissions, approval processes, recipients, publication times, connected accounts, and communication schedules appropriately.

An approval status within Hey Ralli represents an action taken through the Organization's configured workflow. Hey Ralli does not independently verify that approved content is legally accurate, factually correct, appropriate, non-infringing, or authorized by every person who may have an interest in it.

Users should review content, recipients, dates, times, rights, permissions, publication settings, and connected-account status before approving or distributing communications.

Monitoring Your Posting Schedule

Hey Ralli does not independently monitor an Organization's posting calendar, publication schedule, campaign deadlines, communication obligations, or other deadlines.

Organizations are responsible for monitoring their own schedules, approval statuses, connected accounts, publication results, and communications.

Hey Ralli is not responsible for determining whether a post, newsletter, email, or other communication has been scheduled, published, sent, delivered, or received at the time intended by the Organization.

Publication and Delivery Failures

Scheduled or attempted publications or communications may fail, be delayed, or be delivered differently than expected for reasons including:

  • Third-party platform outages;
  • API changes;
  • Expired, revoked, or invalid permissions or access;
  • Changes to Facebook, Instagram, Meta, Google, email-provider, or other third-party policies;
  • Missing or incomplete approvals;
  • Incorrect dates, times, time zones, recipients, or connected-account selections;
  • Network or infrastructure interruptions;
  • Platform rate limits or restrictions;
  • User configuration errors;
  • Provider delivery failures;
  • Spam filtering;
  • Account restrictions; or
  • Events outside Hey Ralli's reasonable control.

Hey Ralli does not guarantee that scheduled content or communications will be published, sent, delivered, or received at a particular time.

To the maximum extent permitted by applicable law, Hey Ralli is not responsible for losses, missed opportunities, missed deadlines, reputational harm, lost revenue, or other damages resulting from delayed, unsuccessful, missed, incomplete, or failed publication, scheduling, delivery, or communication.

Organizations remain responsible for verifying important, time-sensitive, safety-related, contractual, or legally required communications and for maintaining any backup communication process the Organization considers appropriate.

9. Newsletters and Other Communications

Hey Ralli may allow Organizations to create, approve, schedule, and send newsletters or other communications.

Organizations are responsible for:

  • The content they send;
  • The recipients they select;
  • Having appropriate authority to contact recipients;
  • Maintaining accurate contact information;
  • Honoring applicable unsubscribe or opt-out requirements; and
  • Complying with applicable communications and marketing laws.

Hey Ralli may use third-party delivery providers to transmit communications.

Delivery is subject to factors outside Hey Ralli's control, including recipient mail systems, spam filtering, third-party service availability, and provider policies.

10. Communication Hub and Inbox

Hey Ralli may provide a Communication Hub, inbox, or similar tools that allow Organizations to view, organize, manage, and respond to messages, comments, replies, or other communications received through connected third-party platforms.

Hey Ralli provides technology that enables these communications to be displayed or managed within the Services.

Hey Ralli does not independently monitor, supervise, moderate, or manage conversations conducted through an Organization's Communication Hub or connected accounts.

The Organization is responsible for:

  • Monitoring its Communication Hub and connected channels;
  • Reviewing incoming messages, comments, replies, and other communications;
  • Determining whether, when, and how to respond;
  • Ensuring responses are accurate, appropriate, and authorized;
  • Supervising Organization users who have access to inbox or messaging features;
  • Managing roles and permissions for users authorized to communicate on behalf of the Organization;
  • Complying with applicable privacy, communications, recordkeeping, and third-party platform requirements; and
  • Escalating urgent, sensitive, safety-related, legal, or otherwise important communications through appropriate channels.

Organizations are responsible for conversations and responses made by their authorized users through Hey Ralli or connected third-party platforms.

Hey Ralli is not responsible for statements, representations, commitments, promises, advice, responses, omissions, or other communications made by an Organization, its users, or third parties through the Communication Hub or connected platforms.

Message Synchronization and Delivery

Hey Ralli does not guarantee that every message, comment, notification, reply, or other communication will be received, synchronized, displayed, delivered, or surfaced within the Communication Hub.

Messages may be delayed, unavailable, incomplete, duplicated, or fail to synchronize because of:

  • Third-party API behavior;
  • Platform outages;
  • Changes to platform functionality;
  • Expired or revoked permissions;
  • Account restrictions;
  • Connectivity issues;
  • Technical failures;
  • Rate limits; or
  • Other circumstances outside Hey Ralli's reasonable control.

Organizations should not rely on Hey Ralli or the Communication Hub as the sole means of receiving or monitoring emergency, safety-related, legally required, or other time-sensitive communications.

To the maximum extent permitted by applicable law, Hey Ralli is not responsible for losses or damages arising from an Organization's failure to monitor or respond to communications; missed, delayed, incomplete, duplicated, or unavailable messages; unauthorized or inappropriate responses by Organization users; communications from third parties; or failures or delays involving connected platforms.

11. Facebook, Instagram, Meta, and Other Third-Party Platforms

Hey Ralli may allow authorized users to connect third-party platforms and services, including Facebook, Instagram, Google services, calendar providers, volunteer services, and other integrations.

By connecting a third-party account, you represent that you have authority to connect that account or organizational asset to Hey Ralli.

Facebook and Instagram

Hey Ralli may allow authorized Organization users to connect Facebook Pages and associated Instagram accounts.

When you authorize a Meta connection, you authorize Hey Ralli to access and use information and permissions made available through Meta's APIs as necessary to provide the features you request.

Publishing, scheduling, inbox synchronization, and related functionality through Hey Ralli occur at the direction of authorized Organization users.

You are responsible for complying with applicable Facebook, Instagram, Meta, and other third-party platform terms and policies.

Third-party platforms control their APIs, permissions, products, availability, and policies and may modify, restrict, suspend, or discontinue functionality.

Hey Ralli cannot guarantee that a third-party integration will always remain available or function in the same manner.

Authorized users may disconnect an Organization's Facebook and Instagram connection through:

Settings → Facebook & Instagram → Disconnect

Disconnecting the integration does not automatically delete Organization Content already stored in Hey Ralli.

Meta-associated data deletion instructions are available through the Hey Ralli Privacy Policy.

12. Other Third-Party Services

Hey Ralli relies on third-party providers to operate portions of the Services.

These may support:

  • Cloud infrastructure;
  • Authentication;
  • Artificial intelligence;
  • Payment processing;
  • Email delivery;
  • Social media integrations;
  • Calendar integrations;
  • Volunteer information;
  • Error monitoring;
  • Analytics;
  • Security; and
  • Other requested functionality.

When you choose to use a feature requiring a third-party provider, you authorize Hey Ralli to transmit information reasonably necessary to provide that feature.

Third-party services may be governed by their own terms and privacy policies.

Hey Ralli is not responsible for changes, outages, suspensions, errors, or policies of third-party services outside our reasonable control.

13. Copyright, Trademarks, and Other Third-Party Rights

Users and Organizations are responsible for Organization Content and other materials they submit through the Services and for communications or materials ultimately approved, published, sent, printed, or distributed through Hey Ralli.

To the extent permitted by applicable law, Hey Ralli is not responsible for claims resulting from a user's or Organization's unauthorized use of third-party:

  • Copyrighted works;
  • Photographs;
  • Artwork;
  • Illustrations;
  • Logos;
  • Trademarks;
  • Brand assets;
  • Characters;
  • Designs;
  • Likenesses;
  • Music or media; or
  • Other protected materials.

Hey Ralli may remove, disable access to, or restrict content when we reasonably believe it violates these Terms, applicable law, or the rights of another person.

Repeated or serious infringement may result in suspension or termination of access to the Services.

14. Copyright Complaints

If you believe that any content available through the Service infringes your copyright or other intellectual property rights, please send a written notice to:

Your notice should include sufficient information to identify the copyrighted work, identify the allegedly infringing material, provide your contact information, and include a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

Hey Ralli may remove or restrict access to allegedly infringing content when appropriate and may terminate the accounts of repeat infringers in appropriate circumstances.

15. Acceptable Use

You may not use Hey Ralli to:

  • Violate applicable law;
  • Infringe intellectual-property, privacy, publicity, or other rights;
  • Upload or distribute content you do not have the right to use;
  • Send unlawful, fraudulent, deceptive, threatening, harassing, or intentionally misleading communications;
  • Impersonate another person or Organization;
  • Distribute malware or malicious code;
  • Attempt unauthorized access to systems or accounts;
  • Circumvent Hey Ralli security or authorization controls;
  • Abuse third-party APIs or connected services;
  • Send communications for which you do not have appropriate authorization;
  • Interfere with the operation or security of the Services; or
  • Use Hey Ralli in violation of applicable connected-platform requirements.

We may investigate suspected misuse and may restrict or suspend access when reasonably necessary to protect Hey Ralli, our users, third parties, or the Services.

16. Subscriptions and Billing

Hey Ralli offers paid subscription plans. Current pricing and included features are displayed through Hey Ralli's Pricing and Billing interfaces.

Monthly Subscriptions

Paid subscriptions are billed through our payment processor and renew automatically on a monthly basis unless canceled.

By purchasing a subscription, you authorize the applicable recurring charges until cancellation.

Prices, plan features, usage allowances, AI credit allocations, and available tiers may change over time. Changes affecting an existing paid subscription will be handled subject to applicable law and any notice we provide.

Trials

Eligible new Organizations may receive a trial period.

Current product configuration may include a 14-day trial with temporary access to designated features and an introductory AI-credit allocation.

A payment method may be collected during checkout, and paid billing may begin automatically when the trial ends unless the subscription is canceled before then.

The applicable checkout and Billing screens will show the current trial terms.

Failed Payments

If payment fails, we or our payment processor may notify you and attempt to collect payment according to the payment processor's procedures.

We may restrict or suspend access for nonpayment as permitted by these Terms and applicable law.

Cancellation

Subscriptions may be managed or canceled through the available Billing controls or payment-provider customer portal.

Cancellation takes effect at the end of the Organization's then-current paid billing period.

Canceling a subscription prevents the subscription from renewing for the next billing period but does not retroactively cancel, shorten, or reverse a billing period that has already begun.

The Organization will continue to have access to its paid subscription and applicable features through the end of the current paid billing period.

Cancellation does not ordinarily result in a prorated refund, account credit, or refund of amounts already paid. Refunds and charges associated with cancellation are governed by Section 18.

7-Day Grace Period

After the Organization's paid billing period ends following cancellation, Hey Ralli provides a seven (7) calendar-day grace period before access to the Organization's workspace is suspended.

During the grace period, authorized users may continue to access the Organization's workspace.

The grace period does not renew the subscription, extend the paid billing period, or result in an additional subscription charge.

Hey Ralli may limit certain functionality during the grace period, including features that incur third-party costs, consume AI or platform credits, publish content, send communications, or create new scheduled activity.

If the Organization resubscribes during the grace period, continued access may be restored subject to successful payment and the applicable subscription terms.

At the end of the seven (7)-day grace period, access to the Organization's workspace will be suspended unless the Organization has resubscribed or Hey Ralli otherwise provides access.

Data Retention After Cancellation

Cancellation or suspension does not immediately delete Organization Content.

Hey Ralli may retain Organization Content and workspace data for up to twelve (12) months after the Organization's paid subscription ends.

During this retention period, the workspace generally will not be accessible after the applicable grace period unless the Organization resubscribes or Hey Ralli otherwise restores access.

If the Organization resubscribes during the applicable retention period, Hey Ralli may restore retained Organization Content and workspace data.

Hey Ralli does not guarantee restoration of all data, integrations, third-party connections, scheduled activities, publication settings, messages, or functionality.

After the applicable twelve (12)-month retention period expires, Hey Ralli may permanently delete or de-identify Organization Content and workspace data, subject to information Hey Ralli is required or permitted to retain under applicable law, legitimate recordkeeping requirements, backups, fraud prevention, security requirements, dispute resolution, or the Privacy Policy.

An Organization may contact support@heyralli.com regarding an Organization-level deletion request.

Nothing in this section requires Hey Ralli to retain information where earlier deletion is requested and legally appropriate or where retention is prohibited by applicable law.

Trial Expiration

An Organization whose trial expires without having started a paid subscription may instead receive the limited access currently associated with Hey Ralli's entry-level offering, if such an offering is available at that time.

17. AI Credits and AI Reserve

Certain artificial intelligence functionality within Hey Ralli uses AI credits. The number of credits required may vary by feature, generation type, AI model, provider, or resources required.

AI credits are provided solely for use with eligible Hey Ralli features. Credits are not currency, stored value, property, or a financial instrument and have no cash value.

Monthly Plan Credits

AI credits included with a subscription plan reset according to Hey Ralli's applicable monthly credit cycle.

Unused monthly plan credits expire at the end of the applicable monthly credit period and do not roll over, carry forward, or accumulate into future monthly credit periods.

At the beginning of a new monthly credit period, the Organization receives the AI credit allocation applicable to its then-current subscription plan.

AI Reserve

Hey Ralli may make additional AI Reserve capacity available to Organizations for an annual fee.

AI Reserve provides an additional allocation of AI credits that may be used during the applicable annual Reserve period.

Payment for AI Reserve provides access to the applicable Reserve allocation for that annual Reserve period. AI Reserve credits are not purchased or owned as property and have no cash or stored monetary value.

Annual AI Reserve Reset

AI Reserve operates on an annual allocation cycle.

Any unused AI Reserve credits expire at the end of the applicable annual Reserve period.

Unused Reserve credits do not roll over, carry forward, accumulate, or transfer into a subsequent annual Reserve period.

If the Organization renews AI Reserve for another annual period, a new AI Reserve allocation will be made available according to the Organization's then-current Reserve offering and applicable credit allowance.

Expiration of unused Reserve credits at the end of an annual Reserve period does not entitle the Organization to a refund, prorated refund, cash payment, account credit, or other compensation except where required by applicable law.

Credit Usage

The number of AI credits required for an AI-powered action may vary depending on the feature, generation type, artificial intelligence model, provider, or resources required.

Hey Ralli may make applicable credit usage information available within the Services, Billing interfaces, plan information, or other product documentation.

Changes to AI Credit Allocations

AI credit allocations, Reserve allocations, usage rates, eligible features, and related credit functionality may vary by subscription plan and may change over time.

Hey Ralli may modify future AI credit allocations, usage rates, Reserve offerings, or credit-related features subject to applicable law and any notice required for material changes affecting an existing paid subscription or annual Reserve period.

No Monetary Value or Transfer

AI credits and AI Reserve credits:

  • Are not currency or stored value;
  • Have no cash value;
  • Cannot be redeemed for cash;
  • Cannot ordinarily be sold or transferred between Organizations;
  • Cannot be exchanged for other Hey Ralli products or services unless expressly permitted by Hey Ralli; and
  • Expire according to the applicable credit period described in these Terms.

Nothing in this section limits any right that cannot lawfully be waived.

18. Refunds

Except where a refund is required by applicable law, all payments to Hey Ralli are final and non-refundable.

This includes, except where otherwise required by law:

  • Subscription fees already charged;
  • Used or unused monthly AI credits;
  • AI Reserve fees;
  • Used or unused AI Reserve allocations;
  • Charges for a billing period that began before cancellation; and
  • Fees associated with an annual AI Reserve period that has already begun.

Canceling a subscription prevents future subscription renewal charges after the cancellation becomes effective but does not retroactively cancel a billing period that has already begun and does not ordinarily result in a refund, prorated refund, or account credit for amounts already paid.

Unused monthly AI credits are not converted to cash or refunded.

Unused AI Reserve credits are not converted to cash, refunded, or carried forward solely because they remain unused at the end of the applicable annual Reserve period.

Expiration of monthly AI credits or AI Reserve credits in accordance with Section 17 does not create a right to a refund, cash payment, account credit, or other compensation except where required by applicable law.

Nothing in these Terms limits any refund, cancellation, or other consumer right that cannot lawfully be waived.

19. Suspension and Termination

Hey Ralli may suspend or restrict access to some or all of the Services when reasonably necessary because of:

  • Nonpayment;
  • Security concerns;
  • Suspected fraud;
  • Material violation of these Terms;
  • Abuse of the Services;
  • Legal requirements;
  • Intellectual-property complaints; or
  • Risk to Hey Ralli, users, third parties, or connected platforms.

Where reasonably practicable, we may provide notice or an opportunity to resolve the issue.

We may terminate accounts or access for material or repeated violations of these Terms.

Suspension or termination under this Section is separate from an Organization's voluntary cancellation under Section 16 and may result in earlier restriction of access when reasonably necessary.

20. Individual Account Deletion

You may request deletion of your individual Hey Ralli account through:

Settings → Account

Deleting an individual account removes the applicable login and membership information in accordance with Hey Ralli's account-deletion process.

Deleting your individual account does not automatically delete Organization Content belonging to an Organization workspace.

Organization Content may remain available to other authorized Organization users.

If you are the last administrator of an Organization workspace, Hey Ralli may require that administrative responsibility be transferred before your individual account can be deleted.

Organization-wide deletion is not currently provided as a self-service account function.

Contact support@heyralli.com regarding an Organization-level deletion request.

Organization-wide deletion requests are separate from ordinary subscription cancellation. Cancellation and post-cancellation retention are governed by Section 16.

21. Changes to the Services

Hey Ralli is an evolving service.

We may add, modify, limit, replace, or discontinue features because of:

  • Product improvements;
  • Security requirements;
  • Legal requirements;
  • Third-party API changes;
  • Provider availability;
  • Platform policies;
  • Technical limitations; or
  • Business decisions.

We do not guarantee that any specific third-party integration or feature will remain available indefinitely.

22. Intellectual Property

Hey Ralli and its underlying software, branding, interfaces, designs, workflows, documentation, and other proprietary materials are owned by Hey Ralli or its licensors and are protected by applicable intellectual-property laws.

Except for the limited right to use the Services under these Terms, these Terms do not grant you ownership of Hey Ralli intellectual property.

Your ownership and rights in Organization Content are addressed in these Terms.

Rights relating to AI-generated content may be affected by applicable law, the nature of the generated material, and terms applicable to third-party AI providers.

Hey Ralli does not guarantee that AI-generated content is eligible for copyright protection or that exclusive intellectual-property rights will arise in AI-generated output.

23. Feedback

If you voluntarily provide suggestions, ideas, feedback, or recommendations about Hey Ralli, you authorize us to use that feedback to operate and improve the Services without restriction or compensation to you.

This does not transfer ownership of your Organization Content to Hey Ralli.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

HEY RALLI DOES NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED;
  • THE SERVICES WILL BE ERROR-FREE;
  • ALL DEFECTS WILL BE CORRECTED;
  • AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, APPROPRIATE, ORIGINAL, OR NON-INFRINGING;
  • THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE;
  • COMMUNICATIONS WILL ALWAYS BE DELIVERED OR PUBLISHED SUCCESSFULLY;
  • SCHEDULED POSTS, NEWSLETTERS, EMAILS, OR OTHER COMMUNICATIONS WILL BE PUBLISHED, SENT, DELIVERED, OR RECEIVED AT ANY PARTICULAR TIME;
  • ALL MESSAGES, COMMENTS, REPLIES, NOTIFICATIONS, OR OTHER COMMUNICATIONS WILL BE RECEIVED, SYNCHRONIZED, DISPLAYED, DELIVERED, OR SURFACED IN THE COMMUNICATION HUB OR THROUGH A CONNECTED THIRD-PARTY PLATFORM; OR
  • THE SERVICES WILL MEET EVERY ORGANIZATION'S PARTICULAR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEY RALLI DISCLAIMS IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEY RALLI AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, MISSED PUBLICATIONS, MISSED DEADLINES, FAILED COMMUNICATIONS, MISSED OR DELAYED MESSAGES, COMMUNICATION HUB OR INBOX ACTIVITY, THIRD-PARTY MESSAGES, OR AN ORGANIZATION'S FAILURE TO MONITOR OR RESPOND TO COMMUNICATIONS, ARISING FROM OR RELATING TO THE SERVICES.

This includes, to the maximum extent permitted by applicable law, losses arising from failed or delayed publications, third-party platform outages or restrictions, missed communications, synchronization failures, user configuration errors, unauthorized Organization-user activity, or an Organization's failure to monitor its posting schedules or Communication Hub.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEY RALLI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED FIVE THOUSAND U.S. DOLLARS ($5,000).

The limitations in this section apply regardless of the legal theory asserted and even if Hey Ralli has been advised of the possibility of the damages.

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

26. Indemnification

To the extent permitted by applicable law, you and the Organization you represent agree to defend, indemnify, and hold harmless Hey Ralli, its affiliates, owners, officers, employees, and contractors from claims, liabilities, damages, losses, and reasonable costs, including reasonable attorneys' fees where recoverable, arising out of or relating to:

  • Organization Content;
  • User-provided inspiration or reference materials;
  • Alleged copyright, trademark, privacy, publicity, or other rights violations arising from materials provided by you or your Organization;
  • Communications your Organization sends, publishes, or makes through the Communication Hub;
  • Statements, responses, promises, commitments, or representations made by Organization users;
  • Your Organization's failure to monitor or appropriately respond to communications;
  • Your Organization's use of connected third-party accounts;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement or violation of another person's rights;
  • Materials your Organization provides to Hey Ralli or its AI features; or
  • Actions taken by authorized users within your Organization workspace.

Hey Ralli reserves the right to control the defense of a matter subject to indemnification, and you agree to reasonably cooperate in that defense.

27. Privacy

Our Privacy Policy explains how Hey Ralli collects, uses, shares, retains, and protects information.

The Privacy Policy is incorporated into these Terms by reference where permitted by applicable law.

Organization Content and workspace data associated with a canceled paid subscription may be retained for up to twelve (12) months after the Organization's paid subscription ends as described in Section 16 and the Privacy Policy.

Meta/Facebook/Instagram user data and other information subject to third-party platform requirements may be deleted, retained, or otherwise handled according to applicable platform requirements, legal obligations, and the Privacy Policy.

28. Changes to These Terms

We may update these Terms as Hey Ralli, our business, our integrations, or applicable requirements change.

When we update these Terms, we will update the "Last Updated" date at the top of this page.

If changes are material, we may provide additional notice as appropriate or required by law.

For material changes, Hey Ralli may require users to affirmatively accept updated Terms before continuing to use some or all of the Services.

29. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Nothing in these Terms prevents either party from seeking relief in a court of competent jurisdiction where required or permitted by applicable law.

30. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

Our failure to enforce a provision of these Terms is not a waiver of our right to enforce it later.

You may not assign your rights under these Terms without our consent where consent is permitted to be required.

Hey Ralli may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar business transaction.

These Terms, together with the Privacy Policy and any additional terms expressly presented for a particular Service or purchase, constitute the agreement between you and Hey Ralli regarding the Services.
